1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of The Billing Generator, a web-based billing narrative tool operated by Molly Kremer Coaching, LLC, doing business as The Billing Coach ("The Billing Coach," "we," "us," or "our"), located at generator.thebillingcoach.com (the "Tool").

By accessing or using the Tool, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Tool on behalf of a law firm or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the Tool.


2. Description of the Tool

The Billing Generator is a web-based tool that assists legal professionals in drafting billing narrative entries using a proprietary framework. Features include but are not limited to: Standard Narrative generation, Billing Bookends, Break It Up, Pro Forma Pre-Check, Month-End Pre-Check, The Vault, Ask The Billing Coach, and integration with the Clio practice management platform via the Clio API.

The Tool is intended to assist attorneys and legal professionals in drafting their own billing narratives. It does not constitute legal advice, billing advice, or professional guidance of any kind. Outputs generated by the Tool are drafts only and require your independent professional review before use.


3. Eligibility

The Tool is intended for use by licensed legal professionals, law firm administrators, and legal support staff. By using the Tool, you represent that you are at least 18 years of age and legally permitted to enter into these Terms.


4. Subscriptions and Licenses

4.1 Individual Subscriptions

Individual access to the Tool is available via annual subscription at the rate published on our website at the time of purchase. Subscription fees are non-refundable except as expressly stated herein.

4.2 Firmwide Licenses

Firmwide licensing is available for law firms and legal organizations. Firmwide license terms, pricing, and seat allocations are governed by a separate Statement of Work or License Agreement executed between The Billing Coach and the firm.

4.3 License Key and Access

Access to the Tool is provided via a license key issued upon subscription confirmation. You are responsible for maintaining the confidentiality of your license key and may not share, transfer, or sublicense access to the Tool except as expressly permitted by your license tier.

4.4 Renewal and Cancellation

Annual subscriptions renew automatically unless cancelled prior to the renewal date. You may cancel your subscription by contacting info@thebillingcoach.com. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a subscription term.


5. User Responsibilities

5.1 Accurate Inputs

You are solely responsible for the accuracy and completeness of the information you enter into the Tool. The Tool generates narrative drafts based on your inputs. You are responsible for reviewing all outputs for accuracy, completeness, and compliance with applicable billing guidelines, client agreements, and rules of professional conduct before submitting any billing entry.

5.2 Professional Obligations

You acknowledge that use of the Tool does not alter or discharge your professional obligations as a licensed attorney or legal professional, including but not limited to obligations related to competence, supervision, confidentiality, and candor in billing. You are responsible for ensuring your use of the Tool complies with all applicable rules of professional conduct and bar association ethics opinions.

5.3 Client Confidentiality

You are responsible for ensuring that information entered into the Tool complies with your obligations regarding client confidentiality. We recommend against entering information that could independently identify a client by name in combination with matter details unless your firm has evaluated and approved such use.

If you choose to connect the Tool to your Clio account, you authorize the Tool to access your Clio data as described in our Privacy Policy and as permitted by Clio's terms of service. You represent that you have the authority to authorize such access. Your use of the Clio integration is subject to Clio's terms of service in addition to these Terms.

We are not affiliated with, endorsed by, or a subsidiary of Clio. Clio is a registered trademark of Themis Solutions Inc.


7. Intellectual Property

7.1 Our Proprietary Content

The Tool, including its design, features, the ATVR framework (Action, Task, Value, Result), named methodologies (Billing Bookends, Cringe and Count It, It Took What It Took, Above Your Pay Grade, and related frameworks), training content, and all related intellectual property, are owned by Molly Kremer Coaching, LLC and protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of any intellectual property to you.

7.2 Your Content

You retain ownership of the content you input into the Tool and the narrative outputs generated based on your inputs. By using the Tool, you grant us a limited, non-exclusive license to process your inputs solely for the purpose of providing the Tool's services to you. We do not claim ownership of your inputs or outputs.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Tool, you grant us the right to use such feedback without restriction or compensation to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless The Billing Coach and its officers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Tool; (b) your violation of these Terms; (c) your violation of any applicable law or professional rule; or (d) any content you submit to the Tool.


11. Modifications to the Tool and Terms

We reserve the right to modify, suspend, or discontinue the Tool or any of its features at any time with reasonable notice where practicable. We reserve the right to update these Terms at any time. Material changes will be communicated via email or notice within the Tool. Your continued use following notice of updated Terms constitutes acceptance.


12. Termination

We reserve the right to suspend or terminate your access to the Tool for violation of these Terms, non-payment, or any conduct we determine, in our sole discretion, to be harmful to the Tool, our users, or our business. You may terminate your account at any time by contacting info@thebillingcoach.com.

Upon termination, your license to use the Tool ceases immediately. Sections 7, 8, 9, 10, and 13 survive termination.


13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Allegheny County, Pennsylvania, and you consent to personal jurisdiction in those courts.


14. General Provisions

These Terms constitute the entire agreement between you and The Billing Coach with respect to the Tool and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision shall not be deemed a waiver.
